For consumer-facing digital platforms, fintech startups, and direct-selling brands, referral marketing and tiered incentive loops have become the default growth engine. That growth strategy now requires an immediate legal audit. The Securities and Exchange Commission of Pakistan has formally notified the Companies (Prohibition of Unlawful Activities) Regulations, 2026, establishing strict statutory boundaries to identify and outlaw Ponzi schemes, pyramid structures, deceptive multi-level marketing, and unlawful referral programs across physical channels, digital platforms, and social media.
While legitimate direct selling remains lawful where commissions reflect verified end-consumer retail deliveries, the regulatory line has hardened. The new rules strictly prohibit compensation models where remuneration is primarily derived from recruiting new participants, models utilizing entrant funds to pay existing members, guaranteed return promises, and mandatory inventory loading. The compliance stakes are uniquely personal: violations trigger direct financial penalties and criminal prosecution against corporate directors and officers under Section 512(2), alongside involuntary corporate winding-up proceedings under Section 301 of the Companies Act, 2017. For digital marketplaces and retail brands, marketing funnels must be decoupled from user-recruitment rewards to prevent regulatory freezes.
